Institutional memory is stored information from an organization’s present and history that can be brought to bear on real-time decisions. Above all else, institutional memory must be usable. It has to capture the “why,” not just the “what,” and it has to be connected to context so it can be reused without guesswork. Organizational memory creates leverage by capturing, organizing, and reusing the knowledge created through execution in multiple different aspects of a process.
This is where fragmentation and institutional memory are the same issue. If the work is fragmented, the memory is fragmented. If the memory is fragmented, the firm cannot reuse execution. It can only redo it.
In deal terms, institutional memory is structured, reusable knowledge tied to the actual execution of the work:
- The underlying source, down to the page or row
- The decision history, including who approved, when, and why
- The context, including the company, sector, and process stage
- The outcome, including what happened next and what worked
When memory exists, earlier work directly improves future work. The firm starts from validated precedent instead of a blank page. The best firms win because they remember. Most firms lose because they relearn.
Why Agents Alone Won’t Create Memory
Agents can draft. Agents can summarize. Agents can propose language. That is useful, but it does not create an enduring advantage because it does not produce the infrastructure that makes work reusable and safe.
When agents operate without shared memory and governance, they become locally helpful but globally messy. This is showing up outside finance as well: as organizations deploy more agents, they hit “agent sprawl” problems that are fundamentally orchestration problems. Without a universal context layer, agents are locally optimal but globally catastrophic because each agent is working from partial context and redundant retrieval.
This is exactly what happens when AI is implemented like SaaS. You get an “AI tool” for diligence, another for research, another for drafts, another for outreach. Each one produces output. None of them share a living, source-tied memory layer. The result is more content, more review burden, and more inconsistency across teams.

This is the experience curve applied to a services business: repetition lowers cost and increases quality when learning is captured and reused rather than lost.
At the same time, the firm builds a data moat it can actually harness. Most banks already have “data” in the form of decks, call notes, trackers, and emails. The problem is that it is unstructured and disconnected, so it cannot be operationalized. When execution is captured as structured data, you can measure what correlates with winning: which narrative modules convert fastest, which proof points consistently change client perception, which steps slow teams down, and where approval latency kills momentum. Competitive advantage stops being “who worked the hardest this week” and becomes “which firm learns fastest over time.”
